Platform Terms of Use

Effective: November 1, 2025

1. Introduction

These Terms of Use ("Terms") establish the legal framework governing your access to and use of the AiVII platform provided by EdvanceIQ Limited ("Supplier", "we", "us").

This agreement comprises the main Terms, Data Processing Agreement, and Service Level Agreement, which together form the complete agreement between you ("Client") and the Supplier.

2. Access and Use

Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable right to access and use the AiVII platform for your internal business operations.

You agree not to:

  • Copy, modify, or create derivative works of the platform
  • Reverse engineer, decompile, or disassemble any part of the platform
  • Use the platform for any unlawful purpose or in violation of these Terms
  • Commercially redistribute or sublicense access to the platform
  • Attempt to gain unauthorised access to the platform or its systems

3. Free Trial

We may offer a free trial period, typically lasting 30 days, with limited functionality. During the trial:

  • Your data will automatically transfer to a paid subscription unless you opt out at least 5 days before trial expiration
  • If you do not subscribe, your data will be deleted 30 days after the trial ends

4. Data Handling

Data Ownership: You retain full ownership of all data you upload to the platform.

Data Processing: We act as a data processor; you remain the data controller under UK GDPR. Our Data Processing Agreement governs how we handle your data.

Data Separation: Physical and logical separation protects each client's information from other clients.

5. Support and Service Levels

We offer three service tiers with varying levels of support:

  • Core: Standard support with response times up to 5 business days
  • Clarity: Enhanced support with faster response times
  • Intelligence: Priority support with response times as fast as 2 business hours for critical issues

6. Fees and Payment

Implementation Fees: One-time fees are payable upfront upon agreement.

Subscription Fees: Payable monthly or annually. Annual payment is equivalent to 10 months of monthly fees.

Price Increases: We may increase fees annually by up to 12% or UK CPI, whichever is greater, with 30 days' notice.

7. Term and Renewal

The initial term is 24 months from the effective date. After the initial term, the agreement automatically renews for successive 12-month periods unless either party provides 60 days' written notice of non-renewal.

8. Termination

Either party may terminate this agreement:

  • With 60 days' written notice after the initial term
  • Immediately if the other party materially breaches these Terms and fails to remedy the breach within 30 days of notice
  • Immediately if the other party becomes insolvent or enters administration

9. Effects of Termination

Upon termination:

  • We will provide a data export within 30 days of your request
  • All Client data will be permanently deleted 60 days after termination
  • Your access to the platform will cease immediately

10. Liability

Limitation: Our total liability is capped at the subscription fees paid by you in the 12 months preceding the claim.

Exclusions: Neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

11. Intellectual Property

All intellectual property rights in the platform remain with EdvanceIQ Limited. Nothing in these Terms transfers any ownership rights to you.

12. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during the course of this agreement and not to disclose such information to third parties without prior written consent.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to These Terms

We may update these Terms from time to time. We will provide notice of material changes at least 30 days before they take effect. Your continued use of the platform after changes become effective constitutes acceptance of the updated Terms.
